This Stylish International Inc. Marketplace Agreement (the "Agreement") contains the terms and conditions that govern your access to and use of the Services. The Agreement includes the Program Policies, which are incorporated by reference, and therefore any reference to “the Agreement” in this Agreement shall mean “this Agreement including each of the Program Policies”. By registering for or using the Services, you agree to be bound by all terms and conditions of this Agreement, as this Agreement may be amended from time to time in accordance with its terms. Capitalized terms have the meanings given to them in this Agreement. Solely to the extent of any conflict, the Program Policies will prevail over the other terms of this Agreement.

1. Registration

​

In order to use the stylishkb.com products and services, you must complete the associated registration process. This includes completing the fill out a form that you can find in the next links:

- If your business is located in Canada click here to fill out the form.

- If your business is located in the USA click here to fill out the form.

The information that you will provide through the form will be used for accounting and contact purposes. You hereby consent to our collection and use of such information from time to time, for registration purposes, and for any other purposes contemplated in this Agreement. Successful registration for a Service is subject to the approval of Stylish International Inc. at its sole discretion.

2. Modification

​

We may change any of the terms and conditions contained in this Agreement, including the Program Policies, at any time and at our sole discretion. Any changes, including the introduction of new Program Policies, will be effective fifteen (15) days after we post notice of such changes on the Online Dealers Portal, or otherwise notify you.

You are responsible for regularly accessing the Online Dealers Portal to review the most up-to-date version of the Agreement as well as informing yourself of all notices and changes.

YOUR CONTINUED USE OF A SERVICE OR THE SELLER PORTAL AFTER ANY CHANGES BECOME EFFECTIVE CONSTITUTES YOUR ACCEPTANCE OF SUCH CHANGES.

If you do not agree to any posted changes, do not continue to use any Services or the Seller Portal.

3. Your Product Listings and Orders

 

3.1) Products and Product Information

You will upload accurate and complete Required Product Information for each of Stylish Products that you offer through any Site and promptly update that information as necessary to ensure it always remains accurate and complete. It is your responsibility to review your contact email for product updates and to make the necessary changes in 5 business days.

3.2) Inventory

The inventory file can be accessed through the online dealer’s portal. Inventory will be updated Monday, Wednesday, and Fridays, is your responsibility to keep inventory updated on your site.

4. Pricing

​

Stylish International inc. gives its resellers the ability to sell and promote its branded products through the Internet.  However, to establish a level playing field while allowing individual pricing decisions, all U.S. and Canada resellers of Stylish International Inc. products must adhere to the following Minimum Advertised Pricing (MAP) policy.  This policy is being implemented unilaterally. You can access the pricing and MAP through the online dealer’s portal. Any change on this policy will be informed through your contact email and will be expected to be updated on your stores in the next 5 business days.

4.1) Minimum Advertised Price (MAP) Policy

​

a) Policy Overview: The Company maintains a Minimum Advertised Price (MAP) policy to ensure fair competition among resellers and maintain the value and integrity of our Products. The MAP is the lowest price at which Products can be advertised by resellers.

 

b. Compliance: All resellers, distributors, and authorized partners must adhere to the Company's MAP policy. This includes but is not limited to online advertisements, print media, promotions, and any publicly visible pricing information.

 

c. MAP Enforcement: The Company reserves the right to monitor and enforce compliance with the MAP policy. Violations may result in corrective actions, including but not limited to warning notices, temporary suspension of selling privileges, or termination of partnership agreements.

 

d. Exceptions and Competitive Guidance: The MAP policy does not apply to actual selling prices. Resellers are free to determine the actual price at which they sell products to customers, as long as the advertised price complies with the MAP. However, we strongly suggest that resellers follow the MAP to remain competitive in the market and maintain consistent pricing standards across channels.

 

e. Reporting Violations: Customers, resellers, or other parties who become aware of potential MAP violations should promptly report them to the Company for investigation. The Company will investigate reported violations and take appropriate actions as necessary.

 

f. Policy Updates: The Company reserves the right to update or modify the MAP policy at its discretion. Any changes will be communicated to affected parties in advance.

4.2) Promotion and Pricing. 

The Company may offer discounts, promotions, or special pricing arrangements at its discretion. You will upload accurate and complete Required Pricing Information for each of Stylish's Product that you offer through any Site and promptly update that information as necessary to ensure it always remains accurate and complete. Changes in pricing or promotion will be sent to your contact email and available on the Online Dealers Portal.

5. Orders and Fulfillment

​

5.1) Orders. All orders will be processed through our website www.stylishkb.com, we won’t accept phone or email orders.

5.2) Shipping: It is your responsibility to share with Stylish International Inc. your courier Information in a timely manner to fulfill your order in time.

5.3) Fulfillment. We will provide 2 emails after you had made an order. The first one is the confirmation of your order, the second one will display the tracking number that your courier provided or the tracking number on your shipping label.

6.  Returns, Replacements, Refunds, and Adjustments

​

Returns can be made within the first 30 days of your original order date.

The return and refund processes are the following.

1. Start the process here, with the information requested in the form.

2. We will respond within 1 business day, approving or rejecting your return.

3. Stylish International Inc. will pay for return shipping fees only when the product has a manufacturer defect. For any other issue is your responsibility to send the return shipping label.

4. Stylish International Inc. will not be responsible for shipping damage, you must claim damages directly with your selected courier.

5. Once we received the item, allow us 7 business days to complete the return process and issue the refund. You will be notified by email when the refund has been made.

7.  Warranty

​

Stylish International Inc. is not responsible for labor charges, installation, or other incidental or consequential costs. In no event shall the liability Stylish International Inc. exceed the purchase price of the product. Stylish International Inc. will, at its election, repair, replace or make appropriate adjustments according to the product warranty, you can find more information about our product warranties here.

8. Right of Termination

​

The term of this Agreement will start on the date you are successfully registered to use a Service, and will continue until terminated by us or you as provided in this Agreement (the "Term"). We may terminate or suspend this Agreement or any Service for any reason at any time by notice to you. We also reserve the right to reduce or limit in our sole discretion the Services made available to you. We will provide notice to you of any reduction or limit of the Services. This Agreement will terminate immediately without notice with respect to a Service if we cease providing such Service or all Services. Termination or suspension of a Service will not terminate or suspend any other Service unless expressly provided.

9. "Intellectual Property Right"

​

Stylish International Inc has the intellectual property right of any patent, copyright, Trademark, domain name, moral right, trade secret right, or any other intellectual property right arising under any Laws and all ancillary and related rights, including all rights of registration and renewal and causes of action for violation, misappropriation or infringement of any of these.  As an online registered dealer, you have the right to utilize this information in an accurate form to promote and sell Stylish International's Products on your platform. Stylish International Inc. reserves the right to enforce its Intellectual Property right if it is misused.
